Sytem hangs at reboot

After using >shutdown -r now

last lines:

Unmounting file systems: [ OK ]
Please stand by while rebooting the system ...
md: stopping all md devices.
md: md0 switched to read-only mode.
Synchronising SCSI cache for disk sda:
Restarting system.

And then there is a blinking cursor ...
I need to manualy reset the machine in order to continue, after that I don't have any errors while booting (as if it resetted automaticly)

I tried adding acpi=off to the command line, but it didn't work.
I played around with the APM and ACPI bios settings (tried all possible combo's), but no result ..

It's gonne be a remote server, so I really need this thing to work.

Didn't try it before, tried it now, didn't work

Note: using kernel 2.6.11-1.27 and I have an ASUS P5S800-VM mainboard.
